Terms of Service

These Terms of Service ("Terms") govern your access to and use of the products and services offered by Zit Technology Limited ("ZitStack", "we", "us", or "our"), including ZitCloud, Zit Mall, Registers, Afiam, Zit Reach, Zit Quiz, and related products (the "Services"). By creating an account or using the Services, you agree to these Terms.

1. Accounts

You must provide accurate information, keep your credentials secure, and are responsible for all activity under your account. You must be legally able to enter into these Terms and use the Services in compliance with applicable law.

2. Acceptable Use — Messaging & Advertising Compliance

Zit Reach and related Services provide tools to reach people who have chosen to hear from you. You are responsible for how you use them.

• Consent / opt-in. You must obtain valid opt-in before sending any business-initiated message, and you must be able to evidence it. Cold, unsolicited messaging and purchased, rented, or scraped contact lists are prohibited.
• Platform policies. You will comply with the WhatsApp Business Messaging Policy and Business Terms, the Meta Platform Terms and Advertising Standards, the Google Ads policies and API Terms, and all applicable laws (including Nigeria's NDPR, the EU GDPR, CAN-SPAM, and TCPA where relevant).
• Opt-outs. You will promptly honor unsubscribe / STOP requests; the Services record and enforce suppression on your behalf.
• Your provider billing. You connect and remain responsible for your own Meta (WhatsApp conversation and ad) and Google (ad) accounts and their charges. Provider messaging and advertising fees are billed to you by the provider directly and are separate from your ZitStack subscription.
• Content. You are responsible for the accuracy and legality of your message templates, ad creative, and other content.
• Prohibited conduct. No unlawful, deceptive, infringing, or abusive use; no attempts to disrupt or reverse-engineer the Services.

3. Subscriptions & Billing

Paid Services are billed on a subscription basis through our payment processor (Stripe). Fees, trial terms, and plan limits are shown at purchase. Unless stated otherwise, subscriptions renew automatically until cancelled, and fees are non-refundable except as required by law. Provider fees (e.g. Meta/Google messaging and ad spend) are separate and billed by the provider to you directly.

4. Intellectual Property

The Services, including all software, content, and trademarks, are owned by ZitStack or its licensors. You retain ownership of the content and data you submit; you grant us a limited license to host and process it solely to provide the Services.

5. Third-Party Services

The Services integrate with third-party platforms (Meta, Google, and others). Your use of those platforms is governed by their own terms and policies, and their availability is outside our control.

6. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. We do not warrant uninterrupted or error-free operation, or any particular outcome. ZitStack is not responsible for account restrictions, suspensions, or bans imposed by Meta, Google, or other providers resulting from your non-compliant use.

7. Limitation of Liability

To the maximum extent permitted by law, ZitStack will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our total liability for any claim will not exceed the amounts you paid us for the Services in the twelve months preceding the claim.

8. Suspension & Termination

You may stop using the Services at any time. We may suspend or terminate access for violations of these Terms or provider policies, sustained low quality or deliverability ratings, non-payment, or abuse. On termination, your right to use the Services ends and we may delete your data subject to legal retention obligations.

9. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Lagos State will have exclusive jurisdiction, without prejudice to any mandatory consumer-protection rights in your country of residence.

10. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date, and where appropriate provide additional notice. Continued use after changes take effect constitutes acceptance.
